On August 19, 2009, Chiyoda America, Inc. ("Chiyoda America") filed a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code (the "Chapter 11 case") in the United States Bankruptcy Court for the Southern District of New York (the "Bankruptcy Court"). Chiyoda America's Chapter 11 case has been assigned to the Honorable Arthur J. Gonzalez and is being administered under case number 09-15059 (AJG). On November 10, 2009, the court entered an order confirming the Debtor's First Amended Chapter 11 Plan of Reorganization (the "Plan"), authorizing the assumption of certain executory contracts, and setting certain deadlines and hearing dates (the "Confirmation Order"). On November 23, 2009 (the "Effective Date") the Debtor's Plan became effective.
